This action for a declaratory judgment pursuant to 28 U.S.C. § 2201 was initiated by American Finance System, Inc. [hereinafter AFS] and the trustees of its Profit Sharing Retirement Plan and Trust Agreement [hereinafter the Trust] to deteirnine whether they are compelled by Title VII of the Civil Rights Act of 1964, 42 U.S.C. § 2000e et seq., to distribute accumulated funds or “vested” shares in the Trust to certain former employees.
