OPINION
COWEN, Circuit Judge.
Before us are two appeals from two breach of contract actions arising out of a single set of insurance contracts, Plaintiffs-Appellants Paul and Steven Prusky are a father-and-son team of investment advisors, and the trustees of the MFI Associates, Ltd. Profit Sharing Plan1 (collectively “the Pruskys”). Defendant-Appel-lee is ReliaStar Life Insurance Company (“ReliaStar” or “RLIC”).
