CHRISTENSON, District Judge.

This is a derivative action by a stockholder on behalf of the Life Insurance Corporation of America against former direotors who allegedly caused the corporation to issue capital stock to themselves of a value of approximately $40,-300 without the corporation’s receiving any value therefor. The complaint was in two counts. Summary judgment for all defendants was granted on the first count. The second count is against defendants Bullard, Wright, Wirthlin, Rich and Pugsley.
