Plaintiffs-appellants Compagnie Finan-ciére de CIC et de L’Union Européenne (“CFC”) and Management Investment Funding Limited (“MIF”) appeal from a judgment of the United States District Court of the Southern District of New York (Sand, J.) declaring that a letter agreement (the “Letter Agreement”) did not bind interpleader-plaintiff Merrill Lynch, Pierce, Fenner & Smith Incorporated (“Merrill Lynch”).
