MEMORANDUM OPINION
BLOCH, District Judge.
I.Facts
On February 20, 1988, Allegheny International, Inc. (AI) and four of its subsidiaries filed petitions for reorganization under Chapter 11 of the Bankruptcy Code. On May 3, 1988, fourteen other subsidiaries of AI filed for relief.
On July 25, 1989, AI filed a motion with the bankruptcy court seeking approval of the terms and conditions of a commitment letter issued by Wells Fargo Bank (Wells Fargo) to AI, and seeking permission to pay commission fees to Wells Fargo as administrative expenses pursuant to Bankruptcy Code § 503(b).
