MEMORANDUM OF DECISION

NEWMAN, District Judge.

While some litigation under Rule 10b-5 1 is “the unhappy aftermath of a corporate marriage gone sour,” Republic Technology Fund, Inc. v. The Lionel Corporation, 483 F.2d 540 (2d Cir. 1973), this suit arises because the marriage was so successful that a member of the groom’s family thinks there should have been a larger dowry. This is a stockholder’s derivative action brought by the custodian of a minor who owns stock of The New Haven Board and Carton Company (hereafter “New Haven” or “the company”).
