Third-party plaintiff Genesee Associates, Inc. (“Genesee”) appeals the order of the district court 1 granting judgment on the pleadings to third-party defendants Ron Disney and Mike Bingham on Genesee’s indemnification claim. For. the reasons discussed below, we affirm the judgment of the district court.

I. BACKGROUND
