Plaintiff corporation filed this action against defendant directors of Elliston Lime Company, a Montana corporation, seeking a joint and several judgment against the directors for an obligation allegedly owed by Elliston Lime Company to plaintiff. The action seeks to impose a statutory personal liability on the directors by reason of their failure to file annual statements of the corporation, pursuant to section 15-811, R.C.M.1947. From an *10order of the district court of Powell County denying plaintiff’s motion to file a second amended complaint and dismissing the action, plaintiff appeals.
