EDWARD WEINFELD, District Judge.
Plaintiff, Plant Industries, Inc. (“Plant”) commenced this action on May 7, 1980 seeking injunctive relief for violations of section 14(a) of the Securities Exchange Act of 1934 1 and two of the rules promulgated thereunder which regulate the solicitation of proxies. These violations were allegedly committed by the defendants, the members of the Plant Industries Committee for New Management (the “Committee”) in the course of a proxy fight they are now waging against Plant’s current management and directors with regard to the election of directors at the…
