I. FACTUAL BACKGROUND.

Movant here (collectively “Hudson”)1 was the successful bidder in bankruptcy for essentially all of the assets of Chapter 11 debtor Christ Hospital, a New Jersey not-for-profit corporation (the “hospital” or the “debtor”). The sale, pursuant to a court-ordered auction process, was approved by order of this court on March 27, 2012 (the “Sale Approval Order”).
