On September 17, 1971, this Court held that the McLean Industries (“McLean”) proxy solicitation for shareholder approval of its merger into the R. J. Reynolds Tobacco Company (“Reynolds”) was materially false and misleading in violation of § 14(a) of the Securities Exchange Act of 1934, 15 U.S.C. § 78n(a). The Court granted partial summary judgment in favor of the plaintiff class against four of the individual defendants and against Reynolds, the surviving corporation. 331 F.Supp. 981.
