This diversity action arises out of an alleged agreement dated July 13, 1990 (“the July 13 agreement”) between the predecessor in interest of Wilhelmshaven Acquisition Corporation (“WAC”) 1 a Delaware corporation and wholly owned subsid iary of Goldman Sachs Group, L.P., and two European entities, Beta Raffineriegesellschaft Wilhelmshaven mbH (“Beta”) and Bulk Oil A.G.
