A narrative of the factual events out of which this litigation has arisen should originate with the explanation that the defendant Michael Jelin was the owner of a tract of land divided into 169 lots situate in the City of Rahway. On October 11th, 1923, he conveyed these lots to Lakeside Manor, a corporation, probably organized for the purpose of acquiring title, and in which the complainant Ruben and the defendants Jelin, Szerlip, Hanauer and Mangin each held an equal number of shares of the capital stock.
