The plaintiff/debtor seeks damages for breach of a franchise agreement. Several issues are presented: (1) whether the agreement between the plaintiff and defendants is enforceable; (2) whether the defendants are liable for goods and services purchased from the plaintiff; and (3) whether the defendants breached the agreement by failing to pay franchise fees and if so, what is the amount of recoverable damages.
