OPINION

Before PECK, Circuit Judge, and KINNEARY and RUBIN, District Judges. CARL B. RUBIN, District Judge.

This matter comes before the Court on plaintiff taxpayers’ suit for declaratory and injunctive relief, defendants’ motion to dismiss the complaint for failure to state a claim, and the briefs, memoranda, stipulations and exhibits of the parties. A three judge court convened pursuant to 28 U.S.C. §§ 2281-2284 on March 21, 1972, and heard this matter on its merits.
