The facts in this case have been found by a referee, and no exception has been taken to any fact found by him. In 1889 a number of persons organized a company to drill a well for oil and gas, and as a written declaration of their purpose signed an agreement, as follows: “ We whose names are hereto subscribed do hereby agree to take and pay for the number of shares set opposite to our respective names, for a formation of a company to operate for oil and gas.
