MEMORANDUM OPINION
BLOCH, District Judge.
This is an action brought by the Securities and Exchange Commission (SEC) against the three named defendants, doing business as KLC Business Associates, for the fraudulent sale of unregistered securities in violation of §§ 5(a), 5(c) and 17(a) of the Securities Act of 1933 (Securities Act), 15 U.S.C. §§ 77e(a), 77e(c) and 77q(a), and § 10(b) of the Securities Act of 1934, 15 U.S.C. § 78j(b), and Rule 10b-5, 17 C.F.R. § 240.10b-5 (the Exchange Act).
