McGOWAN, Circuit Judge.

These appeals present a tangled fact situation growing out of the activities of two individuals who joined forces to carry on a restaurant business. The confusion is due largely to imprecision and informality in the arrangements governing the creation and operation of this common enterprise. Further complicating the matter, a corporate form was ultimately employed, but without adequate differentiation between the separate corporate entity and the individual interests of the two people whose instrumentality it was.
