In March 1991, Road Shows, Inc., and Robert E. Mozer (hereinafter jointly referred to as Mozer) filed a complaint for a declaratory judgment against D.J. Sherwood Transportation, Inc. and Clyde L. Smith (hereinafter jointly referred to as Smith).
