BRIEANT, District Judge.

Plaintiff PepsiCo, Inc. (“PepsiCo”) brought this action against defendant Continental Casualty Company (“Continental”) to recover money paid to settle litigation on behalf its officers and directors; it also asserts claims against Continental for fraud and antitrust violations. Continental had issued a policy insuring PepsiCo’s directors and officers from certain claims against them.
