Plaintiff Lawrence Systems, Inc. (Lawrence) initiated this diversity action against defendants Charlotte Adell, Trustee of the Adell Children’s Funded Trust, and the Adell Children’s Funded Trust (collectively Adell Trust) seeking $17,169 damages for breach of contract. Defendants counterclaimed seeking damages in the amount of $1,100,000 for breach of a fiduciary duty which allegedly accrued pursuant to the contractual relationship between Lawrence and Adell.
