[1] Champlain Capital Partners, L.P. (“Champlain”) and Elway Company, L.P. (“Elway Company”), Dale K. Elrod (“Dale”), Jeffrey L. Elrod (“Jeffrey”), and Mary Ann Waymire (“Mary Ann”) (collectively, “the Elrods”; taken together, the Elrods and the Elway Company shall be referred to as “the Elrod Plaintiffs”) were engaged in litigation in which Champlain alleged that the Elrod Plaintiffs had breached a Bonding Collateral Agreement (“the Agreement”) with Champlain, and that they had not acted in accordance with the Agreement’s implied covenant of good faith and fair…
