OPINION

STAPLETON, District Judge:

Robert Dofflemyer and Josephine Doffle-myer, former shareholders of W.F. Hall Printing Company, a Delaware corporation (“Hall”), have brought this class and derivative action on behalf of themselves and other Hall shareholders owning Hall stock at the time of the acts complained of in the complaint. The litigation arises out of actions by defendants in connection with a merger of Hall and a second-tier subsidiary of Mobil Corporation, Mobil-Hall Corporation (“Mobil-Hall”).
