ECI Management Corporation entered into a management agreement to manage an apartment complex located in Marietta, Georgia. The complex was owned by Cobb-Bentley Associates, Ltd., a partnership controlled by four persons who also owned a controlling interest in ECI. Pursuant to a provision of the management agreement the owners obtained a comprehensive general liability insurance policy with Allstate Insurance Company on which ECI was named as an additional insured.
