SEITZ, Circuit Judge.

This is an appeal by Staff Builders, Inc., et al. (“defendants”) from a final judgment against them in a diversity action commenced by Staff Builders of Philadelphia, Inc. and SBCH, Inc. (“plaintiffs”), owners of a health care franchise.

Before trial in the district court, the parties entered into a court-approved settlement agreement pursuant to which the court retained jurisdiction over any matters that might arise in connection with the enforcement of the agreement.
