INTRODUCTION
Golden Star, Inc. (“GSI”), the named fiduciary and sponsor of two 401(k)1 plans, brings this proposed class action2 alleging that the plan service provider MassMutual *75Life Insurance Company (“MassMutual”) violated the Employment Retirement Income Security Act (“ERISA”), 29 U.S.C. § 1001 et seq. when it received revenue sharing payments from third-party mutual funds.
