OPINION & ORDER
LEISURE, District Judge:
This class action was commenced in May, 1984, on behalf of purchasers of shares of defendant American Medcare Corporation (“AMC”) in a public offering pursuant to an allegedly fraudulent registration statement effective in May, 1983. Jurisdiction was premised on the Securities Act of 1933, the Securities Exchange Act of 1934 and, as to one count of the complaint alleging common law fraud, principles of pendent jurisdiction.
