Plaintiff Cooper Linse Hallman Capital Management, Inc., brought seven counts of corporate misconduct against defendants Thomas Hallman, James McQuinn and Hallman & McQuinn Capital Management, Inc. (H&M). At a bench trial, the trial court entered a directed finding on four of the counts. The court subsequently found for Hall-man on plaintiffs allegation that he had breached his fiduciary duty as an officer, director and shareholder of plaintiff and on plaintiffs allegation that he had breached his fiduciary duty as a shareholder of plaintiff, a closely held corporation.
