MEMORANDUM OPINION

This matter is before the Court on an appeal by the Official Plan Committee (“the Committee”), on behalf of the Estate of Valley Steel Products Co., Inc., et al., from a final Order of the United States Bankruptcy Court for the Eastern District of Missouri, Eastern Division, In re Valley Steel Products Company, Inc., et al., Adversary No. 93-4366-293 (Bankr.E.D.
