*643In an action, inter alia, to recover damages for breach of contract and fraud, and for specific performance of a shareholders’ agreement, the defendants appeal, as limited by their brief, from so much of an order of the Supreme Court, Westchester County (Tolbert, J.), entered December 22, 2004, as denied those branches of their motion pursuant to CPLR 3211 (a) (1) and (7) which were to dismiss the second, third, fourth, ninth, eleventh, and twelfth causes of action.
