Plaintiffs, K’s Merchandise Mart, Inc., (“Old K’s”) and its shareholders, brought this action against Gordon Brothers Group, LLC, (“GBG”) and two of its executives, William Weinstein and Frank Morton, alleging fraud, breach of the implied covenant of good faith and fair dealing, and breach of contract. The lawsuit arises from the formation of New K’s Merchandise, LLC (“New K’s” or “the LLC”) by the parties and the subsequent liquidation of the LLC by GBG.
