I. INTRODUCTION
On September 13, 2004, Shamrock Holdings of California, Inc. (“Shamrock”), Shamrock Capital Advisors, Inc. (“SCA”), Eugene I. Krieger, George J. Buchler and Bruce J. Stein (collectively called “plaintiffs”) filed this declaratory judgment action in the Delaware Court of Chancery against Abraham Arenson, Selk LLC and Laurel Equity Group (collectively called “defendants”).
