CUDAHY, Circuit Judge.

Hallmark Insurance Administrators, Inc. (Hallmark) sued Colonial Penn Life Insurance Company (Colonial) for breach of contract. The contract arose from a series of business transactions between Hallmark, Colonial, Daniel J. Kubik, Hallmark’s president and sole shareholder, and the Mark-man Group, Inc. (Markman). Kubik was an insurance consultant and, in 1986, proposed to Colonial that it issue and underwrite a new major medical insurance policy.1 The proposal called for Markman to sell the new policy, utilizing its existing network of independent sales agents, and for a…
