MORTON, District Judge.

All scheduled creditors and all other persons who have entered appearances in this case have been duly notified of the pendency of the offer in composition and afforded an opportunity to appear and oppose the confirmation of it. No person now does so. The statutory requisites have been complied with, and there is no reason why the composition should not be confirmed, unless the report of the referee, in which he states that in his opinion the composition is not in the best interests of the creditors, be so regarded.
