WINTER, District Judge:

After plaintiff (hereafter called “Huber”) entered into a contract to sell to Harry Weinberg, agent for defendant Chesapeake & Dallas Co., Inc. (hereafter called “Chesapeake & Dallas”), for cash and notes, (a) 620 shares of the common stock of defendant Thirty-nine Hundred North Charles Street, Inc. (hereafter called “Thirty-nine Hundred”), and (b) all of the indebtedness of Thirty-nine Hundred to Huber, consisting of not less than $1,150,000.00.
