Caesar and another, copartners, etc., from an order of the Appellate Term of the Supreme Court, entered in the office of the clerk.of -the county • of New York on the 7th day of February, 1913, affirming an order of the City Court of the city of New York granting the respondent’s motion for judgment on the pleadings.

Laughlin, J.:
The respondent interposed an answer and then made the motion with a view to testing the sufficiency of the complaint. The sole question presented on the appeal is whether a cause of action is stated in the complaint; but its decision involves the consideration of several interesting points of law, on some of which we are without the assistance of precedents.
The action is based on section 66 of the Stock Corporation Law (Consol. Laws, chap. 59; Laws of 1909, chap. 61), which renders the directors and officers of a corporation hable to its creditors in certain instances therein…
