KAPLAN, District Judge.

This case raises an interesting question concerning the powers of the chief executive officer of a publicly-held New York corporation in circumstances in which (1) the corporate by-laws never were amended to reflect creation of the office, and (2) the board of the company is deadlocked. It arises in the context of an internal struggle for control of Management Technologies, Inc. (“MU”), the shares of which are traded on NASDAQ. The matter is before the Court on two motions.
