ZOBEL, District Judge.

In December 2012, the Securities and Exchange Commission (“SEC”) filed an enforcement action against plaintiffs BioChernies, Inc. (“BioChemics”) and John Masiz, alleging they had violated the federal securities laws. Plaintiffs have now sued defendant AXIS Reinsurance Company (“AXIS”),1 which issued their directors and officers (“D & 0”) liability insurance.
