MEMORANDUM & ORDER
HUYETT, District Judge.
This action arises as a result of the Pennsylvania General Assembly’s enactment of automobile insurance reform legislation in February of 1990. See 75 Pa.C.S.A. §§ 1791-1799.7 (“Act 6”). Act 6 required insurers, inter alia, to reduce private passenger motor vehicle insurance rates by between ten (10) and twenty (20) percent. In reaction to this change in Pennsylvania’s regulatory environment, defendant Federal Kemper Insurance Company (“Kemper”) changed its system of insurance agent compensation in Pennsylvania.
