GRAHAM, District Judge.

This is a diversity breach of contract case brought by Precision, Inc. (“Precision”). Precision is a Michigan corpora*2tion with its principal place of business in Michigan. Precision claims that Ken-co/Williams, Inc. (“Kenco”) breached its contract with Precision. Keneo/Williams is a Delaware corporation with its principal place of business in Indiana.
