ORDER OF PARTIAL DISMISSAL WITHOUT PREJUDICE
GADOLA, District Judge.
Plaintiffs filed a complaint in this Court on August 4, 2005. The complaint contains five counts. Counts I — III allege state breach of contract and promissory estoppel claims. Counts IV and V allege violations of the Employment Retirement Income Security Act, 29 U.S.C. § 1001 et seq. (“ERISA”). Accordingly, Counts I-III state claims cognizable under state law, whereas Counts IV and V state claims under federal law.
