PUDLOWSKI, Judge.
Plaintiff, Charles R. Willis, brought a declaratory judgment action after defendant, Most Worshipful Prince Hall Grand Lodge of Missouri and Jurisdiction (hereafter Grand Lodge), did not permit plaintiff to use proxy votes and wrongfully denied Acacia Lodge # 166 one of its entitled votes. The trial court granted plaintiffs motion for summary judgment on both counts and Grand Lodge appeals. We reverse.
