Plaintiff Alvis J. Waite initiated this “COMPLAINT FOR CORPORATE DISSOLUTION, DAMAGES, AND EQUITABLE RELIEF” against the close corporation, defendant Industrial Distribution Group, Inc. (“IDG”), and against IDG’s other shareholders, seeking to dissolve IDG under the provisions of OCGA § 14-2-1430 as an allegedly deadlocked corporation. Plaintiff Waite is “Chief Financial Officer of IDG and Chairman of its Board of Directors.” He owns “45.18 percent of [IDG’s] outstanding shares.” Defendant Douglass C.
