Lowe, III, J.), entered May 25, 2006, which, inter alia, directed defendants to account to plaintiff, refused to rule in defendants’ favor that goodwill should not be valued in the accounting, declared in plaintiffs favor that the “Withdrawal Agreement” is valid and enforceable, and dismissed defendants’ counterclaims for fraud, unjust enrichment and breach of contract, unanimously affirmed, with costs.
