*42This is a consolidated appeal of two separate actions, both of which arise from a dispute involving a theater partnership.1 Robert E. Nederlander, Sr. ("Robert")2 controls Nederlander of San Francisco Associates ("Nederlander"), a California general partnership. Carole Shorenstein Hays ("Carole") and her family control CSH Theatres L.L.C.
