Dowling, J.:

The cause of action set forth in the complaint herein is based upon an agreement in writing, bearing date December 2, 1915, between plaintiff and the West Stockbridge Lime Company, a Massachusetts corporation. By that agreement, a copy of which is annexed to the complaint, it appears that the company was desirous of installing a new department in its plant at West Stock-bridge, Mass., for the purpose of conserving and utilizing the carbon dioxide gas then being made at its plant in the calcination of limestone, and of manufacturing certain chemicals from said *128gas, principally…
