This is an appeal from the district court for Scotts Bluff County, Nebraska, sustaining the plaintiff’s motion for summary judgment.

This case arises out of an agreement between Don J. Gilbreath, the seller, and Reece E. Ridgeway, the buyer, for the purchase and sale of 4,999 shares of the capital common stock of Scottana, Inc., a corporation owning the rights in and the business of operating a McDonald’s restaurant in Scottsbluff, Nebraska.
