The plaintiff and the late Charles Alston formed Clifton, LLC (hereinafter Clifton), a limited liability company, for the purpose *847of investing in real estate. The plaintiff and Alston each owned a 50% interest in Clifton. In furtherance of Clifton’s business, two commercial condominium units in Brooklyn (hereinafter the properties) were purchased in the name of Clifton. Following Alston’s death, the plaintiff commenced this action seeking partition of Clifton’s properties, and filed a notice of pendency with respect to the properties.
