OPINION

WELLFORD, Circuit Judge.

Plaintiff Chrysler International Corporation (“Chrysler”) acquired the Jeep line of vehicles when it purchased American Motors Corporation (“AMC”) in 1987. Thereafter it began selling Jeeps to defendant Cherokee Export Company (“CEC”), a Florida corporation. In 1989, the parties formalized their relationship in a special export sales agreement. This litigation arose from Chrysler’s .attempts to collect amounts due under a subsequent version of that agreement.
