I. INTRODUCTION

Persil Mangeur LLC, (“Persil”), the Trustee of the Liquidation Trust established in debtor Philadelphia Entertainment and Development Partners, LP’s (“PEDP”), Chapter 11 plan, appeals from a District Court order affirming a Bankruptcy Court order dismissing PEDP’s adversary complaint against the Commonwealth of Pennsylvania and the Commonwealth of Pennsylvania Department of Revenue (together “Commonwealth”).
